Sunny Workplace™ Enterprise Subscription Agreement

This Sunny Workplace Enterprise Subscription Agreement (“Subscription Agreement”) is entered into as of ____________________________________ (the “Effective Date”) by and between Sunny LLC, a Pennsylvania non-profit limited liability company with a mailing address of P.O. Box 1334, Bethlehem, PA 18016 (“Sunny”), and [NAME] with a mailing address of [ADDRESS] (“Client”).
Capitalized terms not defined herein shall have the meanings set forth in the Sunny Workplace Enterprise Terms and Conditions (“Terms and Conditions”).
By executing this Subscription Agreement, Client acknowledges and agrees that all use of the Sunny Workplace Platform is subject to Terms and Conditions, which Client has received and reviewed, and which are hereby incorporated by reference as if fully set forth herein. In the event of a conflict between this Subscription Agreement and the Terms and Conditions, the terms of this Subscription Agreement shall govern only with respect to the specific products, quantities, and pricing set forth below.
1. Project Overview
Sunny will deliver the Services described herein, subject to the Terms and Conditions and this Subscription Agreement. All Services provided by Sunny to Client pursuant to this Subscription Agreement are in furtherance of Sunny’s and the Foundation’s charitable and educational purposes.
2. Scope of Services
- Platform Access: Sunny grants Client subscription-based access to the Sunny Workplace Platform, including but not limited to:
- Social Battery™ check-ins
- Social Battery Profile Assessments™
- Manager Connect Library (Manager Connect Guides, micro-exercises, structured conversation scripts)
- Access via Sunny’s Platform and/or Client-enabled delivery channels (Slack, Microsoft Teams, or email)
- Content Licensing: Sunny licenses proprietary digital materials for Client’s internal use, including:
- Manager Connect Guides
- Manager Toolkits
- Sunny Sessions (scripts, prompts, and facilitation materials)
- Connection strategy templates and exercises
- Implementation & Strategic Enablement Support: Where included, Sunny may provide:
- onboarding toolkits
- rollout and communication guides
- train-the-trainer resources
- change narrative guidance
- Out of Scope: Unless explicitly included, the following are not provided:
- custom software development or platform customization
- custom integrations (advanced API workflows, bots, SSO, etc.)
- IT administration of Client-owned tools
- hardware provisioning
- in-person or live facilitated sessions (unless specifically included)
- ongoing content customization
Unless otherwise specified, access is limited to the number of Authorized Users set forth in paragraph 3 below.
All Sunny Content is owned exclusively by Sunny. Client is granted a non-exclusive, non-transferable, non-sublicensable internal-use subscription.Client may not reproduce, modify, recreate, adapt, or make derivative works; distribute or share content externally; repurpose Sunny Content for trainings, workshops, or competitive offerings. All materials must be used in their original form.
These services support Client-led execution and do not imply Sunny-led ongoing facilitation unless explicitly stated.

4. Term
a. Initial Term: This Subscription Agreement shall have an initial term of twelve (12) months and shall start and end on the dates set forth below (the “Initial Term”):

b. Renewal Term: This Subscription Agreement shall automatically renew for additional one (1) year periods after the Initial Term (each an “Automatic Renewal Term” and the Initial Term together with all Automatic Renewal Terms, if any, the “Term”) at the then-current pricing, unless either party provides the other written notice of their intent not to automatically extend the term of this Agreement at least thirty (30) days prior to the end of the Initial Term or any Automatic Renewal Term (“Notice of Non-Renewal”).
5. Fees and Payment Terms
All fees set forth in paragraph 3 above are due and payable within thirty (30) days of the execution of this Subscription Agreement and are subject to the payment terms set forth in the Terms and Conditions.
All payments are non-cancellable and non-refundable, except as expressly provided herein.
6. Support and Maintenance
Client will have access to a support library for self-guided training and support during the Term of this Subscription Agreement.
7. Termination
This Subscription Agreement may be terminated as set forth in the Terms and Conditions or by providing a Notice of Non-Renewal as set forth in paragraph 4 above. Termination of the Terms and Conditions automatically terminates this Subscription Agreement
8. Modifications
Any changes to thisSubscription Agreement shall be subject to a written change order executed by both parties.
9. Acceptance
By signing below, Client expressly acknowledges and agrees that it has read and agrees to the terms of this Subscription Agreement and the Terms and Conditions incorporated herein by reference.
The individual accepting on behalf of Client has the authority to bind Client to this Subscription Agreement and the Terms and Conditions. This action constitutes the execution of a binding electronic agreement under applicable electronic signature laws (including the U.S. E-SIGN Act, UETA, and equivalent international legislation).
